The Management Board of Photon Energy a.s. announces that on 30 March 2012 the Company signed the following share transfer agreements, from the Issuer to Photon Energy Investments SK N.V., seated in Amsterdam, which is 100% owned by Photon Energy N.V., the controlling shareholder of Photon Energy a.s.:

- transfer of a 100% ownership interest in SUN4Energy ZVB s.r.o., seated in Bratislava, owning the power plant Babina II of the total installed capacity 1.0 MWp;

- transfer of a 100% ownership interest in SUN4ENERGY ZVC s.r.o. seated in Bratislava, owning the power plant Babina III of the total installed capacity 1 MWp;

- transfer of a 4,647.148642 / 6,638.783775 (70%) ownership interest in ATS Energy s.r.o., seated in Bratislava, owning the power plant Blatna of the total installed capacity 0.7 MWp;

- transfer of a 100% ownership interest in Eco Plan 2 s.r.o., seated in Bratislava, owning the power plant Mokra Luka II of the total installed capacity 0.963 MWp;

- transfer of a 100% ownership interest in EcoPlan 3 s.r.o., seated in Bratislava, owning the power plant Mokra Luka III of the total installed capacity 0.963 MWp;

- transfer of a 60% ownership interest in Fotonika s.r.o., seated in Bratislava, owning the power plant Prsa of the total installed capacity 1.0 MWp;

- transfer of a 50% ownership interest in Solarpark Myjava s.r.o., seated in Bratislava, owning the power plant Myjava of the total installed capacity 1.0 MWp;

- transfer of a 50% ownership interest in Solarpark Polianka s.r.o., seated in Bratislava, owning the power plant Polianka of the total installed capacity 1.0 MWp;

- transfer of a 50% ownership interest in Photon SK SPV 1 s.r.o., seated in Bratislava, owning the power plant Brestovec of the total installed capacity 0.85 MWp

- transfer of a 100% ownership interest in Photon SK SPV 2 s.r.o., seated in Bratislava, owning the power plant Jovice I of the total installed capacity 0.98 MWp;

- transfer of a 100% ownership interest in Photon SK SPV 3 s.r.o., seated in Bratislava, owning the power plant Jovice II of the total installed capacity 0.98 MWp.

All the considerations for the transfers were determined by the court appointed evaluator Equita Consulting s.r.o. and sum up to the total amount of CZK 125.575 million (EUR 5.08 million).

All the above arms'-length-valued transfers of entities from Photon Energy a.s. to Photon Energy N.V. and/or its subsidiaries are a part of the Group restructuring. Minority shareholders of Photon Energy a.s. will continue to fully benefit from the value of these entities upon completion of the exchange of shares in Photon Energy a.s. into shares of Photon Energy N.V.

Zarząd Photon Energy a.s. informuje, że w dniu 30 marca 2012 r., Spółka podpisała następujące umowy przeniesienia udziałów ze Spółki Photon Energy a.s. do spółki Photon Energy Investments SK N.V., z siedzibą w Amsterdamie, w 100% zależnej od Photon Energy N.V., akcjonariusza kontrolującego Photon Energy a.s.:

- 100% udziałów w spółce SUN4Energy ZVB s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Babina II o całkowitej zainstalowanej mocy 1.0 MWp;

- 100% udziałów w spółce SUN4Energy ZVC s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Babina III o całkowitej zainstalowanej mocy 1.0 MWp;

- 4,647.148642 / 6,638.783775 (70%) udziałów w spółce ATS Energy s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Blatna o całkowitej zainstalowanej mocy 0.7 MWp;

100% udziałów w spółce Eco Plan 2 s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Mokra Luka II o całkowitej zainstalowanej mocy 0.963 MWp;

- 100% swoich udziałów w spółce Eco Plan 3 s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Mokra Luka III o całkowitej zainstalowanej mocy 0.963 MWp;

-60% udziałów w spółce Fotonika s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Prsa o całkowitej zainstalowanej mocy 1.0 MWp;

- 50% udziałów w spółce Solarpark Myjava s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Myjava o całkowitej zainstalowanej mocy 1.0 MWp;

- 50% udziałów w spółce Solarpark Polianka s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Polianka o całkowitej zainstalowanej mocy 1.0 MWp;

- 50% udziałów w spółce Photon SK SPV 1 s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Brestovec o całkowitej zainstalowanej mocy 0.85 MWp;

- 100% udziałów w spółce Photon SK SPV 2 s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Jovice I o całkowitej zainstalowanej mocy 0.98 MWp;

- 100% udziałów w spółce Photon SK SPV 3 s.r.o., z siedzibą w Bratysławie, do której należy elektrownia Jovice II o całkowitej zainstalowanej mocy 0.98 MWp.

Wartość poszczególnych udziałów będących przedmiotem powyższych umów została oszacowana przez wyznaczonego przez sąd doradcę Equita Consulting s.r.o. i wyniosła w sumie CZK 125.575 mil. (EUR 5.08 mil.)

Wszystkie opisane powyżej umowy pomiędzy podmiotami powiązanymi tj. spółką Photon Energy a.s. oraz spółką Photon Enery N.V. lub/i spółkami zależnymi są częścią procesu restrukturyzacji Grupy. Akcjonariusze mniejszościowi Photon Energy a.s. będę w dalszym ciągu w pełni partycypować w budowaniu wartości tych podmiotów po zakończeniu procesu wymiany akcji Photon Energy a.s. na akcje Photon Energy N.V.
